Cercle Terms of Service

Please read these terms carefully before using Cercle

Welcome to Cercle, a mood-sharing and emotional wellness application. These Terms of Service ("Terms") form a binding agreement between you and Cercle regarding your use of our platform. By accessing or using Cercle, you agree to be bound by these Terms.

1. Acceptance of Terms

By downloading, accessing, or using Cercle (including the mobile application, website, and all related services), you agree to comply with and be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not use Cercle.

Cercle reserves the right to modify these Terms at any time. Material changes will be communicated to you via in-app notification. Your continued use of Cercle after any changes constitutes your acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years old to use Cercle. By using Cercle, you represent and warrant that:

Cercle does not knowingly allow users under 13 years old. If we become aware of a user under 13, we will immediately delete their account and data.

3. Account Registration & Responsibility

Creating Your Account: To use Cercle, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and password.

Ownership: You retain full ownership of all mood logs, journal entries, and other content you create and post on Cercle. We do not claim ownership of your content.

Deletion of Content: You can delete any mood log, journal entry, or other content at any time. Once deleted, we will remove it from our active systems within 24 hours. Archived backups are permanently deleted within 30 days.

Your use of Cercle is also governed by our Privacy Policy. Please review the Privacy Policy to understand our practices regarding the collection and use of your personal data. The Privacy Policy and these Terms are complementary documents that together form the complete agreement between you and Cercle.

In the event of any conflict between these Terms and the Privacy Policy, the Privacy Policy will govern matters related to data collection and privacy.

7. Friend Connections & Blocking

Mutual Consent: Friend connections on Cercle require mutual consent. Both users must accept each other's friend request before they can see each other's mood logs (if shared to Friends).

Unfriending: Either party can unfriend the other at any time. Once unfriended, the other user can no longer see your mood logs shared to Friends, though they may still see any moods you've shared publicly or to Favorites.

Blocking: You can block any user at any time. Blocked users cannot:

8. Intellectual Property Rights

All Cercle content, design, code, logos, trademarks, and intellectual property are owned exclusively by Cercle. This includes:

You may not copy, modify, distribute, or use any Cercle intellectual property without explicit written permission. Unauthorized use of Cercle's intellectual property may result in legal action.

User-Generated Content License: The intellectual property rights for your mood logs and journal entries remain with you. However, you grant Cercle the limited license described in Section 5 of these Terms.

9. Disclaimers

NOT MEDICAL ADVICE: Cercle is not a medical or mental health treatment service. The wellness suggestions, mood tracking, and other features provided by Cercle are for informational and wellness purposes only and do not constitute medical advice, therapy, or professional mental health treatment.

Provided "As Is": Cercle is provided "as is" and "as available" without any warranties, express or implied. We make no representations about the accuracy, completeness, reliability, or availability of Cercle or any content on the platform.

No Guarantees: We do not guarantee:

10. Limitation of Liability

To the fullest extent permitted by law, Cercle and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Total Liability Cap: In no event shall Cercle's total liability to you exceed the amount you have paid to Cercle in the 12 months preceding the claim, or $100, whichever is greater.

Local Laws: Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for certain types of damages. To the extent the above limitations are not permitted by law, they are reformed to the maximum extent permitted.

11. Termination of Accounts

Termination by Cercle: Cercle reserves the right to suspend or terminate your account if:

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in the state and federal courts located in the United States, and you consent to the jurisdiction and venue of such courts.

13. Changes to These Terms

Cercle may update these Terms from time to time to reflect changes in our service, technology, legal requirements, or other factors. We will notify you of material changes via in-app notification or email.

If you continue to use Cercle after changes are posted, you accept the updated Terms. If you do not agree with changes, you may delete your account and stop using Cercle.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be reformed to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Cercle regarding your use of Cercle and supersede all prior agreements, understandings, and communications, whether written or oral.
